Scope of Application
1.1. These Terms and Conditions apply to all services and offers provided by Optup to business customers (entrepreneurs) within the meaning of §14 BGB.
1.2. Conflicting customer terms are excluded unless Optup expressly consents in writing.
- Nature and Scope of Service
2.1. Optup provides Amazon listing designs, A+ content, packaging, 3D renders, and video editing on a monthly subscription basis.
2.2. Upon confirmation via email that Optup has received all necessary client files, the agreed service period (48-hour delivery window per task) begins. Each new task submitted may be started after the previous is delivered and confirmed closed.
2.3. The subscription allows for unlimited separate projects, brands, and revisions, subject to fair use, and always with one task in progress per account at a time.
2.4. Optup reserves the right to use professional partners and third parties in the provision of services.
- Customer Obligations
3.1. The customer is responsible for providing complete project files and necessary information before work on a task begins.
3.2. Delays resulting from incomplete submissions suspend any delivery timeline and do not relieve subscription payment obligations.
- Acceptance and Revisions
4.1. Delivery occurs by electronic means within 48 hours of task confirmation.
4.2. The customer shall review each deliverable and notify Optup in writing of any material defects or requested changes within five (5) business days. Absence of such notice constitutes acceptance.
4.3. Unlimited revisions per task are permitted during the active subscription. Revisions are addressed within a new 48-hour period from submission of clear and complete feedback.
- Fees and Payment
5.1. Subscription fees are €2200/month or €5600/quaterly net (plus VAT if applicable).
5.2. Payment is due in advance, recurring monthly until proper termination by either party.
5.3. No refunds are issued for partial months, or periods when files/submission were incomplete by the customer.
- Term and Termination
6.1. The subscription contract runs monthly and is automatically renewed unless terminated by email or written notice ten (10) days prior to the next billing cycle.
6.2. Optup reserves the right to terminate with immediate effect in the case of repeated late or incomplete file/proof deliveries, abuse (unreasonable quantity of simultaneous requests), or non-payment.
- Intellectual Property & Usage Rights
7.1. On full and timely payment, the customer receives the exclusive, global rights to use the delivered design assets for their Amazon product(s).
7.2. Optup reserves the right to display anonymized work examples in its portfolio unless otherwise agreed.
- Liability
8.1. Optup is liable only for gross negligence and intent. No liability for data, program, or economic losses, except in cases of personal injury or mandatory statutory liability.
- Confidentiality & Data Protection
9.1. Both parties maintain confidentiality of all business secrets.
9.2. Processing of personal data complies with GDPR. See separate Data Privacy Policy.
- Final Provisions
10.1. Deviations from these T&Cs require written confirmation.
10.2. German law applies exclusively. Place of jurisdiction is Berlin.
